Such documents are mandatory approved by the manager and come into effect until the new ones are canceled or accepted. When reorganizing an enterprise, new organizational and legal documents must be developed in a mandatory manner. This is mainly engaged in the management of the company with the involvement of qualified employees who know their business, as well as legal professionals.
The organizational documents include: the charter of the enterprise, the memorandum of association, the regulations (on the organization, on structural divisions, on provisional bodies, etc.), organizational and methodological and job descriptions, staffing.
Organizational documents for the most partconsist of sections divided into paragraphs (subparagraphs), drawn up on standard size paper (A4) or on the company's common form (depending on the type of document). Mandatory requisites for registration of any organizational and legal document are the following: the name of the organization, subdivision, document title, number, development date, title to the main text, signature of the originator, approval stamp.
Types of documents and basic requirements for their compilation
Charter - one of the most voluminous and complexconstituent documents, which determines the legal status of the enterprise. The structure of the organization, the basic rules of its activities, the staffing number is developed on the basis of the charter. A charter is drawn up on the company's common form, approved by the founder. Mandatory for the inclusion in the charter of any enterprise sections: general provisions (objectives of the organization); organizational structure; methods and forms of management; financial and material resources; audit and reporting activities; order of liquidation.
The Memorandum of Association is a document evidencing the will of the participants to form an organization with the aim of realizing an entrepreneurial goal.
Provisions are organizational documents thatdetermine the order of formation and operation of the enterprise and its structural subdivisions, the rights and duties of employees. They can be individual or typical (the first are usually developed on the basis of the second). On the basis of provisions (on organization, on communication, etc.), branches, representative offices and branches of enterprises operate.
Instructions - documents containing basicrules and methodological recommendations that regulate various aspects of the enterprise's activities, its structural units. Developed on the basis of legislative acts of the Russian Federation, drawn up on a common form, contain the basic requisites of the company, are approved by the head. Job descriptions contain a description of the area of responsibility, rights and duties of a post in the company.
Staffing - organizational and legaldocument, which fixes the numerical and official composition of the organization in accordance with the Charter. This document contains a list of all structural units (units and individual posts), information on the number of employees and the salary fund. Staff schedules the chief accountant and the lawyer, and also the head of the personnel department signs; the document is approved by the signature of the head and the seal.
